Anti-Bribery and Corruption Governance

Saab’s Code of Conduct is adopted by the Board of Directors, which sets the foundation for the company’s ethical standards. The Audit Committee oversees the effectiveness of Saab’s anti-bribery and corruption (ABC) programme. As part of this role, the Committee reviews the annual ABC programme report and whistleblowing statistics.

Ethics and Compliance Board

Saab’s Ethics and Compliance Board (ECB) is responsible for key decisions within the ABC framework. The ECB approves policies and instructions and reviews matters such as whistleblowing cases, onboarding of high-risk business partners, material sponsorships, and other sensitive business activities.

The Board meets regularly throughout the year and consists of senior leadership, including the General Counsel, the first and second Deputy CEOs, and the Head of Communication.

Group Ethics and Compliance 

The Group Ethics and Compliance manages and develops the ABC programme across the organisation. Its responsibilities include:

  • Conducting risk assessments
  • Maintaining policies and procedures
  • Delivering training and awareness programmes
  • Overseeing business partner due diligence
  • Managing whistleblowing processes
  • Monitoring and reporting key metrics
  • The group also supports the ECB and provides an annual status report on the ABC programme to the Audit Committee.
  • Ethics and Compliance Business Areas and Strategic Markets

The ABC programme is implemented across Saab’s Business Areas and Strategic Markets with the support of local Ethics and Compliance Officers. These officers help ensure consistent application of the programme and adherence to Saab’s standards in all markets.

Internal Audit

Internal Audit plays an important role in independently reviewing the effectiveness of the ABC programme. Relevant parts of the programme are included in the annual audit plan. Each year, Internal Audit also reviews selected business intermediaries to verify compliance and ensure alignment with Saab’s values and contractual obligations.
